<p>(BUSINESS WIRE)&#8211; Advanced Micro Devices, Inc. (NYSE: AMD) today announced that it has agreed to sell $500 million aggregate principal amount of its 7.75% Senior Notes due 2020 in a private offering. AMD intends to close the transaction on or around August 4, 2010.</p>
<p>AMD estimates that the net proceeds from the issuance and sale of the senior notes will be approximately $489.8 million after deducting the initial purchasers’ discounts and estimated transactions expenses. AMD intends to use the net proceeds, along with existing cash, to purchase its 6.00% Convertible Senior Notes due 2015 validly tendered pursuant to the company’s tender offer for such notes, which was previously announced. Net proceeds not used in the tender offer, if any, will be used for general corporate purposes.</p>
<p>The new senior notes have not been registered under the Securities Act of 1933, as amended, or applicable state securities laws, and will be offered only to qualified institutional buyers in reliance on Rule 144A and in offshore transactions pursuant to Regulation S under the Securities Act of 1933, as amended. (NYSE: AMD) today announced that it commenced a cash tender offer for up to $800,000,000 in aggregate principal amount of its outstanding 6.00% Convertible Senior Notes due 2015 (the “notes”). AMD intends to finance the purchase of the notes tendered in the tender offer with the net proceeds from the closing of AMD’s private offering of $500,000,000 aggregate principal amount of senior notes due 2020 (the “New Notes Offering”), which was separately announced by AMD today, along with its existing cash.</p>
<p>The tender offer will expire at 12:00 midnight, New York City time, on August 20, 2010, unless extended (such date and time, as it may be extended, the “Expiration Date”) or earlier terminated by AMD. Holders who validly tender, and do not validly withdraw, their notes on or prior to the Expiration Date will be entitled to receive $1,000 for each $1,000 principal amount of notes purchased in the tender offer, plus accrued and unpaid interest to, but not including, the date of payment for the notes accepted for payment. Tenders of notes must be made on or prior to the Expiration Date, and notes may be withdrawn at any time on or prior to the Expiration Date.</p>

<p>Tenders with respect to approximately $499,200,000 aggregate principal amount of the Private Notes, out of a total of $500,000,000 aggregate principal amount eligible to participate in the Exchange Offer, have been received to date.</p>

<p>SUNNYVALE, Calif., Monday, July 5th 2010 [ME NewsWire]:<br />
(BUSINESS WIRE)&#8211; AMD (NYSE: AMD) today announced that Activate!, an interactive Web site that enables kids to easily design and program video games, has been translated into Mandarin and is being deployed at the not-for-profit Dandelion Middle School in Beijing. Activate! is primarily targeted for children ages 13-15 and is being used via the school’s Intranet. Activate! also contains tutorials for making games, example games for users to play and features a gallery of user-generated games. Four, one-week long workshops to teach kids how to design games using the Activate! game development tool commences today at the school. The workshops will be taught by instructors from Parsons The New School for Design and are estimated to reach about 480 students.</p>
<p>This project represents the first deployment of AMD’s signature initiative, AMD Changing the Game, in China, a critical market for AMD. AMD Changing the Game grew out of AMD’s longstanding commitment to education and its expertise in the gaming industry. It helps improve children’s critical science, technology, engineering and math (STEM) skills and encourages kids to become more globally conscious citizens by enabling them to develop digital video games with social content. The Dandelion Middle School workshop supports “Taking Root in China, Winning the Future Together,” a strategy that helps ensure AMD China’s business goals align to the goals of the greater IT industry in China.</p>
